Terms of Service

1. Acceptance of Terms

By accessing or using ERES (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and ERES (“we,” “us,” or “our”).

2. Description of Service

ERES provides cloud-based accounting software designed for Pakistani businesses. Our Service includes features such as:

  • Chart of accounts and general ledger management
  • Invoice generation and management
  • GST compliance and tax reporting
  • WhatsApp Business integration
  • Financial reporting and analytics
  • Supplier and client portals
  • Inventory management

3. Account Registration

3.1 Eligibility

To use our Service, you must:

  • Be at least 18 years of age
  • Be a legally registered business or individual in Pakistan
  • Have the authority to bind your business to these Terms
  • Provide accurate and complete registration information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use strong, unique passwords
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access
  • Ensure proper logout from shared devices

4. Subscription and Payment

4.1 Pricing

Our pricing is available on our website and may be updated from time to time. All prices are in Pakistani Rupees (PKR) and are exclusive of applicable taxes unless otherwise stated.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your chosen payment method for all applicable fees.

4.3 Refunds

We offer a 30-day money-back guarantee for new subscriptions. After this period, fees are non-refundable except as required by law or at our sole discretion.

5. Use of Service

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • In any way that violates applicable laws or regulations
  • To transmit any fraudulent, false, or misleading information
  • To attempt to gain unauthorized access to the Service
  • To interfere with or disrupt the integrity of the Service
  • To upload malicious code or viruses
  • To infringe upon intellectual property rights

5.2 Data Accuracy

You are solely responsible for the accuracy and completeness of data entered into the Service. We are not responsible for any errors or omissions in your data.

6. Data Ownership and Privacy

6.1 Your Data

You retain all rights to your data. We do not claim ownership of any data you submit to the Service. You grant us a limited license to use, store, and process your data solely for the purpose of providing and improving the Service.

6.2 Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

7.1 Our Rights

The Service and its original content, features, and functionality are owned by ERES and are protected by Pakistani and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.

8. Termination

8.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

8.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

8.3 Data Retention

After termination, we will retain your data for a period of 90 days, during which you may request export of your data. After this period, your data will be permanently deleted from our systems.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ERES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless ERES and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Vehari, Pakistan.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
